Terms of Service

These Terms of Service ("Terms") govern your use of ShawReply (the "Service"), operated by John Bagshaw ("ShawReply," "we," "us," or "our"). By using the Service you agree to these Terms.
1. The Service
ShawReply ingests publicly available reviews of your business from supported third-party platforms (e.g., Google, Amazon, Yelp, G2, Trustpilot, app stores), generates AI-assisted responses using a combination of automated rules and Anthropic's Claude language model, and, where the underlying platform permits, posts those responses on your behalf.
The Service is a done-for-you operations layer, not a tool, dashboard, or chatbot.
2. Client responsibilities
- Providing accurate business information (name, listing URLs, staff names, brand preferences).
- Providing and maintaining valid credentials for any platform where responses will be posted on your behalf.
- Reviewing and approving generated responses in accordance with the posting mode we agree on.
- Ensuring that any information you provide does not violate the terms of service of any platform you connect.
- Complying with all applicable laws, including advertising, privacy, and consumer-protection laws in your jurisdiction.
- Not using the Service to post false, defamatory, misleading, or impersonating content.
You remain the responsible party for any review response posted to your business listings.
3. ShawReply responsibilities
- Generate responses that reference the specific content of each review and follow your configured brand voice.
- Apply platform-specific rules for word count, tone, and compliance where applicable.
- Flag reviews with high-risk content (legal threats, HIPAA-sensitive claims, allegations of serious misconduct) for human review rather than auto-posting them.
- Maintain commercially reasonable security practices for any credentials and data you provide.
- Provide weekly digests of Service activity and notify you of any escalations within one hour of ingestion.
4. AI-generated content disclosure
Responses generated by the Service are produced by automated systems and large language models. A human review step is available and, on certain tiers, automatic. You acknowledge that AI systems can occasionally produce incorrect output, and you are the final approver and publisher of any response posted under your brand.
5. Ownership of generated content
Once a response is delivered to you, you own it. You are free to edit, post, discard, repurpose, or archive the response. ShawReply retains ownership of the Service itself, including the underlying prompts, classification rules, software, and infrastructure.
6. Fees and billing
- Fees are described in the pricing sheet at shawreply.ai and may be updated with at least 30 days' written notice.
- Subscription fees are billed monthly in advance. One-time cleanup fees are billed upon order.
- Payment is processed by Stripe.
- Failed payments trigger an automatic retry sequence. Service may be paused after 14 days of unpaid balance.
- Monthly subscription fees are non-refundable. One-time cleanup fees may be refunded within 7 days of delivery if quality is materially inadequate.
7. Cancellation
You may cancel at any time via your Stripe customer portal or by emailing [email protected]. Cancellation takes effect at the end of the current billing period.
8. Liability and indemnification
Liability limits. To the maximum extent permitted by law, ShawReply's total liability to you for any claim arising from or related to the Service shall not exceed the greater of (a) the total fees you paid us in the 3 months preceding the event, or (b) $500 CAD.
Exclusions. We are not liable for loss of business, revenue, goodwill, or reputation resulting from the content of any response; changes to any third-party platform's ranking; suspension of your account by any third-party platform; or any indirect, consequential, or punitive damages.
9. Data handling
We store review content, response drafts, audit logs, and brand preferences in an encrypted Postgres database. You may request deletion of all your data at any time by emailing [email protected]. See our Privacy Policy for full details.
10. Platform compliance
ShawReply operates within each platform's stated terms and uses official APIs where available. For read-only platforms (e.g., Yelp, Capterra, Airbnb), responses are generated and delivered to you for manual posting. We do not impersonate reviewers, fabricate reviews, or solicit reviews in exchange for compensation.
11. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada.
